Terms of Service & Client Agreement
Sirius Bee’s Visions, LLC
1. Acceptance of Terms
By accessing our website or engaging our services, you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you must discontinue use of our website and services.
2. Services
Sirius Bee’s Visions, LLC provides web design, graphic design, branding, and eCommerce development services as described in written proposals, agreements, or invoices. Any services not expressly stated are excluded and may require additional fees and written approval.
3. Client Responsibilities
Clients agree to provide accurate, lawful, and complete content; confirm ownership or licensing rights to all supplied assets; and provide timely feedback and approvals. Delays caused by the client may result in project timeline extensions and additional costs.
4. Payments

Deposits are required prior to project commencement.

Final deliverables and ownership rights will be withheld until full payment is received.

Late payments may result in service suspension, termination, or additional fees.

All fees are non-refundable unless otherwise stated in writing.
5. Collaborative Refinement & Revision Scope

Projects are designed to provide a polished, professional deliverable aligned with your brand vision.
-Collaborative Refinement & Revision Scope
All project quotes include a collaborative refinement phase intended to ensure the final deliverable aligns with the client’s brand vision.
-Definition of Revisions:
Revisions are minor adjustments to aesthetic elements (such as colors, fonts, and imagery) or content placement within the original design concept established during the project kickoff.
-Submitting Requests:
To maintain project momentum, all requested adjustments must be submitted in a single, consolidated written document or email. Each consolidated list constitutes one stage of the refinement process.
Please note: "Piecemeal" or "breadcrumb" requests—individual messages sent over hours or days—fall outside this scope and may incur additional administrative fees.
-Flexibility:
The number of revision rounds is not fixed and will be negotiated per project during the initial consultation. This allows both parties to agree on a timeline and scope that works for the complexity of the project.
6. Project Timelines*
*Project timelines are estimates and may vary depending on client response time, revision scope, and project complexity. Typical timelines are as follows:

Project Kickoff / Consultation:1–3 business days. Define project goals, brand style, design preferences, and scope.

Initial Concepts / Drafts: 5–10 business days. Delivery of initial website pages, graphic concepts, or e-commerce layouts for review.

Revision / Collaborative Refinement: Flexible, typically 2–3 business days per consolidated request. Adjustments to design, layout, content placement, or visual elements based on consolidated feedback. Number of rounds negotiated per project

-Final Delivery1–3 business days after final approval. Delivery of final files and live implementation where applicable (website, graphics, e-commerce store).
Additional Terms

Any requests outside the agreed project scope may incur additional fees.

All deliverables remain the property of the designer until full payment is received.

Commercial usage rights are granted upon final approval and payment.

Turnaround times assume timely client feedback; delays in feedback may extend the overall project timeline.

7. Out-of-Scope Requests
Any requests that deviate significantly from the original creative brief, or include the addition of new pages, products, or functionalities not specified in the initial quote, will be considered "Out-of-Scope." These requests will require a separate estimate based on our standard hourly rate.
8. Project Finalization & Final Acceptance
The collaborative refinement phase remains active for 14 calendar days following the delivery of the initial draft or mockup. The project will be deemed "Approved as Delivered" and the refinement phase will formally conclude upon the occurrence of any of the following (whichever occurs first):

The expiration of the 14-day refinement window without written revision requests;

The client’s written approval of the design or project;

The "Go-Live" date of a website or eCommerce store;

The delivery of high-resolution graphic files or domain transfer.
Formal Legal Acceptance: The "Go-Live" of a website, the transfer of domain ownership, or the delivery of high-resolution graphic files constitutes final legal acceptance of the work. Following this milestone, the refinement phase is closed. Any subsequent changes, updates, or maintenance will be billed as a new project.
9. Intellectual Property
Ownership of final deliverables transfers to the client only upon full payment. Sirius Bee’s Visions, LLC retains ownership of drafts, concepts, and unused materials. We reserve the right to display completed work for portfolio and promotional purposes unless otherwise agreed in writing.
10. Third-Party Assets
Websites and designs may include third-party fonts, plugins, themes, or software subject to separate licensing terms. Clients are responsible for ongoing compliance and any associated licensing fees for such assets.
11. Limitation of Liability
To the fullest extent permitted by law, Sirius Bee’s Visions, LLC shall not be liable for indirect, incidental, consequential, or special damages arising from the use of our website or services.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of New York.
13. Dispute Resolution & Mandatory Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, shall be determined by binding arbitration in the State of New York, before one arbitrator. The arbitration shall be administered by JAMS or AAA (American Arbitration Association).
13.1. Waiver of Jury Trial: By engaging our services, you expressly waive your right to a trial by jury and your right to participate in a class-action lawsuit.
13.2. Costs of Arbitration: Each party shall bear its own costs and attorney's fees. The fees of the arbitrator and the costs of the arbitration facility shall be shared equally by the parties, unless the arbitrator determines that such a split is inequitable or prohibited by law. The arbitrator's decision shall be final and binding.
